Terms of Service

1. Agreement and Acceptance

These Terms of Service (the "Terms" or "Agreement") constitute a legal agreement between PMC Baltic FZ-LLC (Legal entity code: 104086952900001), with registered address at Compass Building, SFFO0507, Al Shohada Road, AL Hamra Industrial Zone-FZ, Ras Al Khaimah, 10055, UAE ("PMC Baltic", "Nocturnum", the "Service", the "Site", "we", "us", or "our"), and any person who accesses, browses, uses, purchases, or otherwise interacts with the Nocturnum website, member platform, astrology content, readings, digital services, or related features (the "User" or "you").

By accessing, browsing, using, purchasing, or otherwise interacting with the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately stop using the Service.

2. Service

Nocturnum provides access to digital astrology services, personalized readings, reports, interpretations, insights, symbolic or spiritual content, compatibility content, educational materials, digital tools, recommendations, subscription-based features, and related digital materials.

The Service includes Nocturnum's Witch Power Reading and Past Life Reading experiences, depending on the quiz and plan selected.

Some parts of the Service may be accessible without creating a separate account, while other parts may require member-platform access, login credentials, purchase confirmation, quiz completion, or email-based delivery.

We may modify, update, suspend, discontinue, or remove any part of the Service at any time, subject to applicable law.

3. License and Use Restrictions

3.1 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial use.

3.2 Restrictions

Except as expressly permitted by these Terms, you may not:

🔹 Interfere with or disrupt the Service, servers, systems, or networks connected to the Service;

🔹 Circumvent or attempt to circumvent security, access, payment, or anti-copying measures;

🔹 Share, transfer, or resell subscription access, member credentials, readings, reports, or account access.

4. Intellectual Property

4.1 Ownership

The Service is licensed, not sold.

We and our licensors retain all right, title, and interest in and to the Service, including all content, software, astrology materials, readings, reports, interpretations, graphics, trademarks, logos, branding, design elements, and other intellectual property rights.

4.2 Content

All text, graphics, software, audio, video, visual elements, personalized readings, astrology reports, interpretations, downloadable materials, educational content, branding, and other materials made available through the Service are owned by us and/or our licensors and are protected by applicable intellectual property laws.

4.3 Personal Use Only

All content is provided for personal, non-commercial use only.

You may not copy, redistribute, republish, sell, reproduce, or commercially exploit any content except as expressly permitted by these Terms.

4.4 Enforcement

We reserve the right to take appropriate action under applicable law in relation to unauthorized use of the Service or infringement of our intellectual property or other rights.

5. Payment, Subscriptions, and Renewals

5.1 Paid Services

Certain features of the Service are available only through a paid subscription, trial offer, introductory offer, or other paid-access model.

5.2 Plan-Specific Charges

By purchasing a subscription, you agree to the initial and recurring charges applicable to the plan you selected at checkout, including any trial price, introductory period, renewal price, and billing interval disclosed at checkout, in your purchase confirmation, and in the Subscription Terms.

5.3 Automatic Renewal

If you purchase a recurring subscription, you authorize Nocturnum and/or our third-party payment processor to automatically charge your selected payment method for each recurring billing period until you cancel in accordance with the Subscription Terms.

5.4 Cancellation

You may cancel your subscription through your account settings where that option is available, or by emailing hello@nocturnum.app from the email address associated with your purchase.

To avoid the next recurring charge, you must cancel before your next billing date, including before the end of any applicable trial period.

Because renewal processing may begin shortly before the next billing date, we strongly recommend completing cancellation at least 24 hours before the applicable trial period or billing period ends.

5.5 Access After Cancellation

If you cancel, your access will remain active until the end of the then-current paid trial period or billing period, after which the subscription will terminate automatically, unless otherwise stated in the Subscription Terms.

5.6 Refunds and Money-Back

Refunds, credits, reimbursements, and money-back eligibility, if any, are governed by the Money-Back Policy, the Subscription Terms, and applicable law.

5.7 Review of Refund and Money-Back Requests

Where a refund, money-back, reimbursement, or similar request is submitted, Nocturnum may review the request, submitted evidence, purchase information, account activity, usage data, and other information reasonably necessary to determine eligibility.

You agree to cooperate with reasonable requests for additional information or evidence required to assess the request.

Any applicable review period and refund eligibility requirements are governed by the Money-Back Policy, Subscription Terms, and applicable law.

5.8 Failed Payments and Suspension

If your payment method cannot be charged, we may retry the charge, suspend access, cancel the subscription, or take other reasonable steps permitted by applicable law and these Terms.

5.9 Outstanding Amounts

You remain responsible for all validly accrued charges, fees, taxes, and other payment obligations incurred before effective cancellation, suspension, or termination, to the extent permitted by applicable law.

6. Privacy

We process personal data in accordance with our Privacy Policy.

By using the Service, you acknowledge that personal data submitted through the Service may be processed as described in the Privacy Policy.

7. Account, Access, Suspension, and Termination

7.1 User Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out through your account or member access, where applicable.

7.2 Suspension or Termination by Us

We may suspend, restrict, or terminate your account and/or access to the Service, with or without notice where permitted by law, if we reasonably believe that:

🔹 Payment failed, was reversed, or was disputed improperly;

🔹 Your subscription is being shared, transferred, or resold;

🔹 The Service is being misused or accessed fraudulently;

🔹 Prolonged inactivity applies to an account-based feature of the Service;

🔹 Suspension or termination is necessary for security, legal, operational, fraud-prevention, or abuse-prevention reasons.

8. Copyright and Intellectual Property Complaints

If you believe that content made available through the Service infringes your copyright, trademark, or other intellectual property rights, you may send a notice to hello@nocturnum.app with sufficient information for us to review the claim.

We reserve the right to investigate and take appropriate action.

9. Disclaimers

9.1 "As Is" and "As Available"

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

9.2 No Guarantee of Results or Accuracy

Nocturnum does not guarantee that any astrology reading, prediction, interpretation, compatibility result, archetype, recommendation, personalized report, spiritual insight, or other content will be accurate, complete, applicable to you, or produce any particular personal result.

Astrology and similar interpretive practices involve subjective and symbolic interpretation.

Individual experiences may vary, and you should not rely on the Service as a guarantee of future events, relationship outcomes, financial outcomes, career outcomes, health outcomes, or any other specific result.

9.3 Astrology and Spiritual Content Disclaimer

Nocturnum provides astrology, symbolic, spiritual, reflective, educational, and self-exploration content.

The Service does not claim that astrology readings, spiritual interpretations, predictions, past-life content, compatibility assessments, archetypes, or similar materials are scientifically proven or capable of predicting future events with certainty.

Any personalized reading or interpretation should be understood as reflective or interpretive content rather than an objectively verified statement of fact.

9.4 No Professional Advice

The Service and all related content are provided for informational, educational, reflective, spiritual, entertainment, and self-exploration purposes only.

They do not constitute medical, psychiatric, psychological, therapeutic, legal, financial, investment, relationship, career, or other professional advice.

You should not make important medical, legal, financial, safety, relationship, employment, or other significant life decisions solely on the basis of an astrology reading, prediction, compatibility result, spiritual interpretation, or other Nocturnum content.

Where professional advice is appropriate, you should consult a suitably qualified professional.

9.5 No Warranty

To the maximum extent permitted by law, we do not warrant that:

🔹 The Service will meet your expectations or requirements;

🔹 The Service will be uninterrupted, timely, secure, or error-free;

🔹 Any reading, interpretation, report, prediction, recommendation, compatibility result, archetype, or other output will be accurate, complete, suitable, reliable, or personally meaningful;

🔹 Any prediction or interpretation will correspond to future events or actual circumstances;

🔹 Defects or errors will always be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, PMC Baltic FZ-LLC and Nocturnum shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, opportunity, or other intangible losses arising out of or related to:

🔹 Your purchase of or reliance on the Service;

🔹 Your reliance on any astrology reading, prediction, interpretation, compatibility result, recommendation, or other content;

🔹 Decisions made based on information or content provided through the Service;

🔹 Interruption, suspension, termination, or modification of the Service;

🔹 Unauthorized access to or alteration of your data;

🔹 Third-party conduct, services, platforms, or payment processors;

🔹 Your failure to cancel before the applicable renewal date.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

11. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless PMC Baltic FZ-LLC, its affiliates, directors, officers, employees, contractors, licensors, and agents from and against claims, liabilities, losses, damages, costs, and expenses arising out of or related to:

🔹 Your violation of applicable law; or

🔹 Your infringement of any third-party rights.

12. Dispute Resolution

12.1 Informal Resolution

Before starting formal proceedings, you are encouraged to contact us at hello@nocturnum.app so that we can try to resolve the dispute directly.

12.2 Jurisdiction

To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Ras Al Khaimah, United Arab Emirates.

Mandatory consumer-protection rules may allow you to bring a claim before another competent court, including a court in your country of residence. Nothing in these Terms limits rights that cannot lawfully be excluded or restricted.

12.3 Interim Relief

Nothing in this Section prevents either party from seeking interim, injunctive, or protective relief from a court of competent jurisdiction where necessary.

13. Notices

13.1 Methods of Notice

We may provide notices by email, account notification, website notice, application notification, or other reasonable means.

13.2 Electronic Notice

Subject to applicable law, notices sent electronically may be considered delivered in accordance with applicable legal requirements and the contact details you have provided to us.

13.3 Your Responsibility

You are responsible for keeping your contact details current and regularly checking your email account for communications concerning your subscription or use of the Service.

To reduce the likelihood of missing important communications, you may add hello@nocturnum.app to your contacts or trusted senders.

14. Term and Survival

These Terms take effect when you first access or use the Service and remain in effect until terminated.

Any provisions that by their nature should survive termination shall survive, including provisions concerning intellectual property, payments, disclaimers, liability, indemnification, dispute resolution, governing law, and other provisions intended to remain effective after termination.

15. Electronic Signatures and Communications

By clicking buttons such as "CONTINUE", "START", "GET ACCESS", "BUY NOW", "SUBSCRIBE", or similar buttons, or by otherwise completing a purchase or digital action through the Service, you provide a legally binding electronic signature to the extent permitted by applicable law.

You consent to the use of electronic signatures, records, contracts, notices, and communications delivered electronically.

To the extent permitted by applicable law, you agree that electronic records and communications may satisfy legal requirements that information be provided in writing.

16. Miscellaneous

16.1 Governing Law

These Terms and your use of the Service shall be governed by the laws of the United Arab Emirates, excluding conflict-of-laws principles, subject to any mandatory consumer-protection laws that apply to you and cannot lawfully be excluded.

16.2 Entire Agreement

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and us regarding the Service.

16.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of our right to enforce it later.

16.5 Assignment

We may assign or transfer our rights and obligations to another entity, affiliate, successor, purchaser, or as part of a business transfer only where permitted by applicable law.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Any assignment by us may be communicated by posting an updated version of these Terms, by email, or by another reasonable method of notice, unless applicable law requires otherwise.

16.6 Force Majeure

We shall not be liable for delays or failures resulting from events beyond our reasonable control, including:

🔹 Payment-processor issues;

🔹 Natural disasters;

🔹 Governmental actions;

🔹 Labor disputes;

🔹 Riots;
